Electronic Disclosure and Consent

Please read this Electronic Disclosure and Consent Agreement (“E-Consent”) carefully and save a copy for your records. This E-Consent pertains to your use of Upwise’s online services and your agreement to receive information from us electronically.

Definitions

In this agreement, “Upwise,” “we,” “us,” and “our” refer to Upwise Capital, LLC and its subsidiaries and affiliates. “You” and “your” refer to the individual applicant or business entity that is applying for financing or using Upwise’s services. “Communications” means any disclosures, notices, agreements, statements, loan documents, fee schedules, privacy policies, records, or other information that we provide to you, or that you sign or submit or agree to at our request, in connection with your relationship with Upwise​.

Consent to Electronic Communications

By accepting this Agreement, you confirm that you can receive Communications electronically and consent to the electronic delivery of all Communications. This means that we will not mail you paper copies of Communications, and you agree that we can send them to you electronically instead. You acknowledge that your consent to electronic Communications is a condition of using Upwise’s services – for example, opening a financing account or submitting an application​.

If you do not consent to electronic Communications, you should not proceed with the Upwise application or account creation. If you initially consent but later withdraw your consent, we reserve the right to terminate or limit your access to Upwise services, including closing your account or cancelling pending transactions, as described below​.

Delivery Methods

We will provide Communications to you electronically in one or more of the following ways: (a) via email at the email address you have provided to Upwise, (b) by making them available on our website (such as through your account portal) or via an online platform, (c) through our mobile application, or (d) by sending you a text message or other electronic notification that directs you to where the Communication can be accessed. If we do not deliver Communications through one of the above methods, we will inform you of how and where you may review the Communications​.

In some cases, applicable law or regulations may require us to provide certain Communications in paper form. Even if you consent to electronic Communications, we may still send you paper documents when required by law or if we otherwise deem it necessary​.

Hardware and Software Requirements

To access, view, and retain electronic Communications from Upwise, you must have the following equipment and software (which are the minimum requirements at the time of this Agreement)​.

  • A computer or mobile device with an up-to-date operating system capable of supporting the below requirements.
  • A stable internet connection.
  • A current version of a web browser that supports 128-bit encryption (for example, the latest versions of Microsoft Edge, Firefox, Safari, or Chrome)​.
  • Sufficient electronic storage capacity on your device (such as a hard drive or cloud storage) to save Communications, or the ability to print Communications.
  • A valid email account and software to access your emails.
  • A current version of a program that can open and display PDF documents (such as Adobe® Reader or an equivalent PDF reader).

Please note that these requirements may change over time as technology evolves. We will notify you if our hardware or software requirements change in a way that creates a material risk that you may not be able to receive or access Communications​. Continuing to use Upwise services after receiving such notice of changes is reaffirmation of your consent to this E-Consent.

Communications in Writing

All Communications that we provide to you in electronic form will be considered “in writing,” and you should print or download a copy of this E-Consent and any other Communications for your records​. You acknowledge and agree that you have the ability to access Communications in electronic form. We are required by law to give you certain information in writing, and by consenting to this Agreement, you agree that electronic Communications satisfy any legal requirement that such communications be in writing​.

Withdrawing Consent

Your Right to Withdraw: You have the right to withdraw your consent to receive Communications electronically at any time. To withdraw your consent, you must notify us in writing. The easiest way to withdraw consent is to send an email to [email protected] with the subject line “Withdraw Electronic Consent” or similar wording, and include your name and account information in the body of the request. You may also send a written notice to Upwise Capital at 1110 2nd Avenue, Suite 201, New York, NY 10022, Attn: Customer Service, expressing your desire to withdraw E-Consent.

Consequences of Withdrawal: If you withdraw your consent to this E-Consent, we will terminate your Upwise account or cease providing services to you, as we are only able to offer our financing services under the condition that Communications can be delivered electronically​. After withdrawal, you will no longer have access to the Upwise online account portal, and any pending applications or services may be discontinued. There is no fee to withdraw consent. Any obligations you have incurred with Upwise or Funding Partners will remain in effect, and we will communicate with you through paper correspondence for any matters pertaining to past transactions or required notices once your electronic consent is withdrawn.

Contact Information: It is your responsibility to keep Upwise informed of any changes to your email address or other contact information so that you continue to receive Communications. Please notify us promptly of any changes by contacting us at [email protected] or updating your profile on our website if available.

By clicking “I Agree” (or any similar button) or by otherwise electronically signing below, you acknowledge that you have read and understand this E-Consent, and that you consent to receive Communications from Upwise electronically, according to the terms described above.
